GENERAL TERMS AND CONDITIONS OF CAR RENTAL

1. INTRODUCTORY PROVISIONS

1.1. These General Terms and Conditions for the rental of vehicles belonging to EU STANDARD s.r.o. with its registered office at náměstí 14. října 1307/2, Praha 5 Smíchov, Postcode: 150 00, ID No.: 08940461, VAT No.: CZ08940461, registered in the Commercial Register maintained by the Municipal Court in Prague, Section C, Insert 327898, are an integral part of the rental agreement (hereinafter referred to as the "Agreement") concluded between EU STANDARD s.r.o. and the renter (hereinafter referred to as the "Customer"), also collectively referred to as the "Parties".

1.2. The subject of the contract is the obligation of EU STANDARD s.r.o. to provide the Customer with the vehicle specified in the contract for temporary use for the agreed period and the obligation of the Customer to use the vehicle in accordance with the contract and these terms and conditions and to provide EU STANDARD s.r.o. witht the according rental fee.

2. CONCLUSION OF THE CONTRACT AND AMENDMENTS THERETO

2.1. The Contract shall become valid and effective upon its signing by both parties. The Contract, with all its integral parts, supersedes all previous arrangements and agreements between the Parties regarding the rented vehicle. Any amendments or additions to this Agreement shall be in writing, either in paper or electronic form.

2.2. The Customer must immediately notify EU STANDARD s.r.o. of any changes to their identification data provided for the purpose of concluding the contract.

3. ACCEPTANCE OF THE VEHICLE BY THE CUSTOMER

3.1. EU STANDARD s.r.o. undertakes to prepare the vehicle for acceptance by the Customer at the agreed time and place in a condition suitable for proper use, also equipped with appropriate tyres.

3.2. If the Customer is a legal entity and the vehicle is not taken over by the Customer's statutory body, the Customer is obliged to notify EU STANDARD s.r.o. in writing in advance (by email) and to identify the person that will be accepting the vehicle and to indicate that this person is authorized to take over the vehicle on behalf of the legal entity. EU STANDARD s.r.o. is entitled to make a double-sided copy of their documents (national identity card, driving license) with the consent of the person accepting the vehicle.

3.3. The Customer is obliged to accept the vehicle at the agreed time and place. From the moment of acceptance, it is the Customer who bears the risk of damage to the vehicle, even in the event of late acceptance or if he fails to take over the vehicle.

4. PAYMENT TERMS, SECURITY

4.1. The payment for the rental service or any other additional service shall be paid by the Customer in the manner and in due time as agreed in the contract.

4.2. If the duration of the rental period is agreed to be up to and including 1 month, the Customer shall pay the rental fee in advance together along with a security deposit. For the vehicles belonging to the Marco Polo and Marco Polo Activity model line, the security deposit shall constitute an amount of 30 000 CZK. For the vehicles belonging to any other model line, the security deposit shall constitute an amount of 10 000 CZK. EU STANDARD s.r.o. is entitled to use the security deposit to cover damage to the vehicle, or arrears. Both the security deposit and the rental fee are due at the time of accepting the vehicle by the Customer.

4.3. If the duration of the rental period is agreed to be longer than 1 month, the Customer shall pay a security deposit. For the vehicles belonging to the Marco Polo and Marco Polo Activity model line, the security deposit shall constitute an amount of 30 000 CZK. For the vehicles belonging to any other model line, the security deposit shall constitute an amount of 10 000 CZK. EU STANDARD s.r.o. is entitled to use the security deposit to cover damage to the vehicle, or arrears. The security is due no at the time of accepting the vehicle by the Customer. The Customer shall pay the rental fee in accordance with the installment schedule as agreed.

EU STANDARD s.r.o. shall not be obliged to allow the Customer to accept the vehicle until the payments referred to in Articles 4.2. and 4.3. have been made by the Customer. During this period, the Customer shall be deemed to be in default in accepting the vehicle with all the legal consequences thereof.

4.5. The amount constituting the security deposit may be altered but only by a written agreement between the Customer and an authorized employee of EU STANDARD s.r.o.

4.6. The security shall be used to secure all claims of EU STANDARD s.r.o. arising from the contract. The security shall be returned to the Customer after the termination of the contract and after the Customer fulfills all of their obligations, unless further claims arise from the contract itself (e.g., damage to the vehicle) or from other business relations of EU STANDARD s.r.o. with the Customer (e.g., due rental fee). The security is not subject to interest.

4.7. EU STANDARD s.r.o. reserves the right to set a maximum permissible amount of unpaid claims against a Customer (hereinafter referred to as the "Credit Limit") on the basis of an internal decision. EU STANDARD s.r.o. shall notify the Customer of this Credit Limit in writing.

4.8. If the credit limit is exceeded, EU STANDARD s.r.o. shall be entitled to demand cash payment from the Customer or payment of invoices already issued before delivery of further goods or services. Else, EU STANDARD s.r.o. shall be entitled to an immediate delivery of the currently rented vehicle and to the suspension or termination of its use under the contract.

4.9. When providing any payment under these General Terms and Conditions that exceeds the limit of 300 000 CZK (hereinafter the "Limit"), the Customer shall be obliged to make the payment via bank transfer to the relevant bank account of EU STANDARD s.r.o. specified in the Contract. All payments in CZK and foreign currency provided by the Customer to EU STANDARD s.r.o. during one calendar day or in relation to one business case are to be summed up as part of the limit.

4.10. In the event of default in any payment under these General Terms and Conditions, EU STANDARD s.r.o. shall be entitled to charge the Customer interest on late payment at the statutory rate.

5. RIGHTS AND OBLIGATIONS OF THE PARTIES

5.1. EU STANDARD s.r.o. is obliged to acquaint the Customer with the use and maintenance of the vehicle, and with the technical and operational regulations to the usual extent. The Customer confirms their familiarity with the above by signing the Contract and these General Terms and Conditions.

5.2. The Customer shall use the vehicle properly, in accordance with all the operating and technical regulations of the vehicle for the purpose agreed in the contract, or as appropriate as it is to the nature and purpose of the vehicle.

5.3. EU STANDARD s.r.o. shall have the right to have their authorized employee access the vehicle for the purpose of checking its technical condition and that the Customer is using the vehicle in a proper manner.

5.4. The Customer is not entitled to alienate, pawn, donate or hand in the vehicle for seizure. The Customer is not entitled to transfer the use of the vehicle to a third party without the prior written consent of EU STANDARD s.r.o.

5.5. The Customer is not entitled to make any modifications or changes to the vehicle, unless otherwise agreed by the parties in the contract. Violation of this provision shall be deemed a material breach of the Contract and the Customer shall be obliged, among other things, to restore the vehicle to its original condition at his own expense and to compensate EU STANDARD s.r.o. for any damage incurred in connection with the modification of the vehicle.

5.6. The Customer is not entitled to use the vehicle outside roads (in terrain, off-road). Violation of this provision shall be considered a material breach of the Contract.

5.7. The Customer is obliged to protect the vehicle from damage, loss, theft or destruction.

5.8. The Customer shall ensure that the vehicle is smoke-free.

5.9. The Customer shall pay the normal costs associated with the use of the vehicle (fuel, cleaning, parking fees, etc.).

5.10. The Customer is obliged to pay EU STANDARD s.r.o. for each kilometer traveled in excess of the maximum mileage limit as agreed in the Contract including VAT.

5.11. The Customer is not obliged to pay the rental fee for the period of time during which the vehicle could not be used due to its incapacity or the need for repair, unless the inability to use the vehicle was caused by the Customer or persons granted access to the vehicle by the Customer. However, the obligation to pay the rental fee shall continue if the Customer has been provided with a replacement vehicle. The obligation to pay the rental fee also continues if the Customer does not notify EU STANDARD s.r.o. without undue delay of the impossibility of using the vehicle.

5.12. The Customer is obliged to comply with all legal obligations in connection with the operation of the vehicle and any replacement vehicles. Toll or other charges for the use of roads of a certain type shall be borne by the Customer.

5.13. The Customer shall immediately notify EU STANDARD s.r.o. of tachometer or tachograph failures and damage to seals.

5.14. The Customer is only entitled to allow its employees to use the vehicle if they hold the relevant driving license.

5.15. The Customer is only entitled to operate the vehicle in the territory for which its motor vehicle liability insurance is in force.

5.16. The Customer acknowledges that the vehicle may be equipped with location tracking systems.

5.17. The Customer may not refuel the vehicle with alternative fuels (e.g., biodiesel).

5.18. The Customer is obliged to immediately report to EU STANDARD s.r.o. the loss of the registration plate, navigation CD or card, vehicle documents (vehicle registration certificate, etc.). The Customer is obliged to reimburse EU STANDARD s.r.o. for the costs and fees for their reissue.

5.19. The Customer shall be fully responsible for traffic offenses, other administrative offenses and criminal offenses that are detected in connection with the operation of the vehicle during the rental period, and shall, in such cases, provide sufficient cooperation to EU STANDARD s.r.o. and the public authorities to identify the perpetrator of the traffic offense, or any other administrative or criminal offense and undertakes to assume all penalties arising from such offenses, in particular to pay any fine for which would EU STANDARD s.r.o. be liable.

5.20. The Customer is, upon request and at any time, obliged to immediately inform EU STANDARD s.r.o. of the location of the vehicle and to allow EU STANDARD s.r.o. or its authorized representative to inspect it.

5.21. If the vehicle is detained by a third party or a public authority, the Customer is also obliged to pay the rental fee for this period, unless the reasons for the detention were not caused by the Customer.

5.22. If the vehicle is equipped with a digital control device for checking driving times and rest periods, the Customer undertakes to comply with the statutory regulations for the use of the device. In particular, the Customer undertakes, at the beginning and end of each period of use of the vehicle, and additionally in the case of contracts concluded for a period of more than three months no later than every 3 months from the start of use of the vehicle, to transfer all data from the memory of the control device relating to the journeys made by him using his company card, store and archive them for the statutory retention period. He further undertakes to copy the data on the driver card every 28 days and to keep it for the duration of the relevant statutory periods.

6. INSURANCE AND INSURANCE CLAIM

6.1. The vehicle is insured with Allianz pojišťovna a.s. or Generali Česká pojišťovna a.s. for liability for damage caused by the operation of a motor vehicle in Europe, including Turkey.

6.2. The vehicle is insured for damage to the vehicle with Allianz pojišťovna a.s. or Generali Česká pojišťovna a.s. in the territory of Europe, including Turkey, excluding Belarus, Moldova, Russia and Ukraine.

6.3. For both insurances and all types of damage, a car insurance deductible of 10%, however, no lesser than 10 000 CZK, is concluded with the respective insurance company. The car insurance deductible is borne by the Customer in the event of damage. A different amount of the Customer's deductible may be agreed upon in the Contract or in a special agreement that may be agreed upon after the occurrence of the damage.

6.4. If an insured event occurs to the vehicle (damage, destruction, theft, etc.), the Customer is obliged to take measures to ensure that the damage caused by or in connection with the insured event does not increase. The Customer bears the burden of proof in regards to taking such precautions and shall keep the damaged parts of the vehicle until they have been assessed by a representative of the insurance company.

6.5. If the claim is not recognised and covered by the insurance company, the Customer is obliged to compensate for the entire damage to the vehicle. This applies in particular, but not exclusively, to cases where the Customer has failed to notify the insurance company of the claim in a timely and proper manner, as a result of which the insurance company rejects the claim.

6.6. In the event that a traffic accident occurs, the Customer is obliged to comply with the legal obligations of the party involved in the traffic accident.

6.7. In cases where the obligation to report the accident to the police does not arise, the Customer is obliged to draw up a joint record of the traffic accident, which is signed and immediately handed over to EU STANDARD s.r.o. This record must include the identification of the place and time of the traffic accident, the participants and vehicles involved, the cause of the traffic accident, its course and consequences, and, where applicable, the identification of witnesses to the traffic accident.

6.8. The Customer is obliged to report the insured event to EU STANDARD s.r.o. immediately, at the latest on the nearest working day following the day on which the insured event occurred.

7. MAINTENANCE AND REPAIRS

7.1. The Customer is obliged to carry out routine inspection and maintenance of the vehicle in accordance with the operating instructions with which the Customer has been acquainted. The Customer confirms their knowledge of the above by signing the Contract and these General Terms and Conditions.

7.2. The Customer is obliged to regularly check the tyre inflation and wear. EU STANDARD s.r.o. shall not reimburse the Customer for the replacement of tyres necessitated by premature wear due to improper use or maintenance, or due to deliberate damage or damage caused by an accident; the Customer shall report such wear to EU STANDARD s.r.o., deliver the vehicle for tyre replacement and pay all costs of tyre replacement.

7.3. The Customer is obliged to bring the vehicle on time according to all technical and operating regulations, according to the service booklet, or, if the vehicle is equipped with it, according to the flexible service system of the vehicle. The Customer shall do as such for maintenance and/or repair, and may do as such exclusively in the authorized service center of the respective brand of the rented vehicle.

7.4. EU STANDARD s.r.o. will, at its own expense and through its authorized service centers, provide the following maintenance and repairs of the vehicle to the Customer:
(a) performing all regular maintenance prescribed by the manufacturer, including the supply of necessary spare parts and operating substances (excluding fuel, AdBlue and windscreen washer fluid);
(b) carrying out all repairs related to wear and tear from normal use of the vehicle or from use under the agreed conditions as specified in the contract;
(c) ensuring that the vehicle is subject to mandatory inspections and checks.

7.5. The Customer is not obliged to pay the rental fee during the time when the Customer cannot use the vehicle for the necessary maintenance and repairs period of normal wear and tear according to the maintenance schedule as per the manufacturer's service instructions, as well as during the period of inspection and check-up of the vehicle as per the law.

8. COMPENSATION AND PENALTY

8.1. The Customer shall always be obliged to compensate for damage to the vehicle in its full amount if such damage occurs during the rental period as a result of one of the following causes:
a) use of the vehicle in violation of the technical and operating instructions;
b) excessive wear and tear or pollution of the vehicle, including smoking inside the vehicle;
c) modifications or changes to the vehicle by the Customer or a third party;
d) breakage of glass;
e) use of contaminated fuel or other than prescribed;
f) breach of any of the Customer's obligations under these General Terms and Conditions;
g) vandalism or accident;
h) loss of vehicle documentation;
i) any other damage to the vehicle including any other costs associated with it, unless such damage is covered by the insurances under Articles 6.1. and 6.2. of these General Terms and Conditions.

8.2. In the event of a breach of the following contractual obligations, the Customer shall pay a contractual penalty, which shall not exclude the obligation to pay damages, in the amount of:
a) 5 000 CZK for each day of delay in returning the vehicle. The obligation to pay the contractual penalty for the first day of the delay arises in the event that the Customer is in delay with the return of the vehicle on the following day without having agreed with EU STANDARD s.r.o. on a change of the return date;
b) 1 500 - 4 000 CZK in case of violating of the prohibition to smoke inside the vehicle. The contractual penalty as per this Subarticle shall correspond to the necessary cleaning of the vehicle caused by violating this rule. The contractual penalty varies depending on the type of the vehicle. EU STANDARD s.r.o. shall have the amount corresponding to each individual case communicated to the Customer.
c) 300 CZK in case of returning the vehicle without a refilled fuel tank. However, this does not affect the reimbursement of EU STANDARD s.r.o. for the missing fuel which shall correspond to the usual price at the time.

8.3. Related costs, e.g., towing costs, are also considered as damage.

8.4. If the Customer is in delay with returning the vehicle, he is liable for damages caused to EU STANDARD s.r.o. as a result of this delay, in particular in connection with the impossibility of handing over the vehicle to another Customer. Furthermore, the Customer is also obliged to pay the rental fee for the period of time during which the return of the vehicle was delayed.

8.5. The determination of the method of compensation is reserved to EU STANDARD s.r.o.

9. TERMINATION OF THE CONTRACT

9.1. The Customer's right to use the vehicle shall cease upon expiry of the period for which the rent was agreed.

9.2. At the end of the rent, the Customer is obliged to return the vehicle with all documents and accessories that have been handed over to them, in the condition in which they took over the vehicle, i.e., refueled and in accordance with the handover protocol, however, with normal wear and tear taken into account. If the Customer does not return the vehicle in the required physical condition, i.e., among other things, washed and refueled, he is obliged to pay EU STANDARD s.r.o. the costs caused by the Customer's failure to comply with this obligation, in particular, the costs of washing and refueling the vehicle, all according to the current prices. The Customer agrees that the selection of the filling station will be made by EU STANDARD s.r.o. according to its current possibilities and needs.

Unless otherwise agreed between the parties, the place of return of the vehicle is the headquarters of  EU STANDARD s.r.o.: Strakonická 120, Praha 5 Zbraslav-Lahovice, 159 00, Česká republika.

9.4. The Customer is obliged to return the vehicle no later than on the date and in time of the end of the rental period as agreed. The Customer understands that the employees of EU STANDARD s.r.o. will not take over the vehicle outside the specified working hours. An unsuccessful attempt to return the vehicle outside of these specified hours of operation shall not be deemed to be a proper return of the vehicle under the contract and these terms and conditions and the period of time until proper return of the vehicle shall be deemed to be the period of time during which the Customer is in default with returning the vehicle.

9.5. Upon returning the vehicle, a vehicle condition report will be prepared and signed by both parties or their representatives. This report shall be made in duplicate.

9.6. Any overpayments and security deposits provided will be refunded to the Customer to a bank account. The Customer shall provide EU STANDARD s.r.o. with sufficient identification of the bank account for the purposes of returning these amounts.

10. PERSONAL DATA

10.1. The Customer hereby consents to the processing of their personal data specified in the Contract and its components by EU STANDARD s.r.o., ID No.: 08940461, with its registered office at  náměstí 14. října 1307/2, Praha 5 Smíchov, 150 00 (hereinafter the “Contractor”), in particular for the purpose of fulfilling the contractual relationship and exercising any claims arising therefrom. For the purposes of determining Customer satisfaction and offering other services and/ir products of EU STANDARD s.r.o., the Customer agrees that EU STANDARD s.r.o. is entitled to process personal data from the moment of the contractual relationship until the expiry of five years from the date of termination of the last contractual obligation with EU STANDARD s.r.o. The Customer has the right to have their personal data corrected and may withdraw their consent to processing at any time, however, he shall do so in writing. EU STANDARD s.r.o. is governed by the applicable legal regulations, in particular Act No. 101/2000 Coll., on the protection of personal data, as amended (z. č. 101/2000 Sb., o ochraně osobních údajů, v platném znění).

10.2. Under the above conditions, the Customer also agrees with recording any calls by and with EU STANDARD s.r.o. for the purpose of determining Customer satisfaction. The customer also agrees to EU STANDARD s.r.o. keeping the recorded calls for a period of three months from the time the recording occurred.

11. FINAL PROVISIONS

11.1. The Contract and these General Terms and Conditions are governed by the law of the Czech Republic, in particular Act No. 89/2012 Coll., the Civil Code, as amended (z. č. 89/2012 Sb., občanský zákoník, v platném znění).

11.2. If the Customer is an entrepreneur, all disputes arising from and related to this contract, which cannot be resolved amicably, shall be settled in the court of competent jurisdiction according to the registered office of EU STANDARD s.r.o.
